Managed Backup Service Endorsement

BY ACCEPTING THIS ENDORSEMENT, EITHER BY INDICATING YOUR ACCEPTANCE, EXECUTING A SALES ORDER THAT REFERENCES THIS ENDORSEMENT, OR RECEIVING OR UTILIZING THE SERVICES DESCRIBED HEREIN, YOU AGREE TO BE BOUND BY THE TERMS OF THIS ENDORSEMENT, SUBJECT TO THE APPLICABLE SERVICE OR MANAGED SERVICE AGREEMENT REFERENCED IN THE SALES ORDER.


1. Scope

This Managed Backup Service Endorsement (“Endorsement”) supplements the applicable Service Agreement or Managed Service Agreement (“Master Agreement”) between TigerGuard IT, Inc. (“Service Provider”) and the client (“Client”).

This Endorsement governs the use of managed data backup and recovery services as described in the applicable Sales Order. In the event of a conflict, the Master Agreement shall control.


2. Description of Backup Services

Service Provider delivers managed backup services designed to protect designated Client data by performing automated and recurring backups in accordance with the scope defined in the applicable Sales Order.

Backup services are intended to support data recovery in the event of accidental deletion, hardware failure, system corruption, or other covered incidents.


3. Covered Data and Systems

Only data and systems explicitly listed in the applicable Sales Order are included in the backup service. Client is responsible for notifying Service Provider of any changes requiring modification to backup coverage.

Service Provider is not responsible for data located on systems or devices not included in the Sales Order.


4. Third‑Party Backup Platforms

Managed backup services rely on third‑party backup software and storage infrastructure. Service Provider does not own or operate the underlying data center infrastructure used for data storage.

Client acknowledges that backup services are subject to the terms, limitations, and availability of these third‑party platforms.


5. Access to Data

Service Provider may access Client backup data solely for purposes of service delivery, troubleshooting, data restoration, or at Client request.


6. Data Security and Privacy

Service Provider implements commercially reasonable administrative and technical safeguards intended to protect access to backed‑up data.

Data handling, storage, and protection may be subject to the terms and policies of the third‑party backup platform. More detailed information may be provided upon request or within service‑specific agreements.


7. Retention and Recovery

Backup retention periods, recovery capabilities, and restoration options are defined in the applicable Sales Order.

Once retention periods expire, older versions of data may be permanently deleted and may not be recoverable.


8. Service Availability and Limitations

Backup services are provided on a best‑efforts basis. Due to the nature of technology systems and third‑party dependencies, Service Provider does not guarantee uninterrupted operation, complete data retention, or recovery in all circumstances.

Client is encouraged to periodically verify recovery requirements meet business and regulatory needs.


9. Compliance Responsibilities

Client is solely responsible for determining whether backup services meet its legal or regulatory compliance requirements, including but not limited to HIPAA, PCI, or other industry‑specific obligations.

Additional agreements may be required for the storage or handling of regulated data.


10. Termination

Backup services may be terminated in accordance with the Master Agreement or applicable Sales Order.

Upon termination, data availability and retrieval options are subject to the terms defined in the applicable agreement and service scope.


11. Changes to Backup Services

Service Provider may modify backup platforms or service components as necessary to maintain service quality or operational viability. Reasonable notice will be provided when practicable.


12. Amendment

This Endorsement may be amended only by written agreement executed by authorized representatives of both parties.
